The moment of truth came. Smart Money made a special trip from the other side of the state. The Angels had decided just the day before that Chinese MBA did not have “the right stuff’ to be invited to participate by conference call. My manufacturing partners didn’t make the cut either.

Exceptionally high business, professional and moral standards were being applied.

Ten Seconds

About ten seconds of niceties were exchanged before we went straight to business. Smart Money had sworn to me prior to coming that he wasn’t leaving the room until a deal was done. Symphony Money sized up Smart Money, and vice versa. It was their first meeting and I could tell they both liked what they saw.

Symphony was the very picture of urbane and cultured suaveness; Smart Money looked and talked exactly like a Master of the Universe should.

Five minutes

Five minutes into the discussion, the only sticking point was the valuation of my company. How could anybody understand what their money bought, if we didn’t all agree on the value of the stock?

“I’m not here to make Kim happy, or the Angels happy,” Smart Money confessed. “In fact, I’d consider my job well done if you both felt like that neither of you got exactly what you wanted. I’m just here as an impartial and fair person to make a deal happen.”

Valuation: The Real Art of the Deal

Mr. CFO threw out his valuation. It was unbelievably low. Still, he insisted that it was what the strict numbers told him.

Nobody disputed the EBITDA figure, or Earnings Before Interest, Taxes, Depreciation and Amoritization; the variable was what factor you multiplied them by. Was it a multiple of two, which the Angels wanted, or a multiple of five, which we wanted?

“We’re selling our future, not our past,” I reminded them.

You can’t put that in the bank,” Mr. CFO quipped.

Fifteen Minutes of animated discussion

Smart Money versus Mr. CFO, one high, the other low, till we had realized that we had come to an impasse. “Let’s take this into the back room,” Smart Money suggested, walking out with Symphony Money and Mr. CFO while we waited in total bewilderment.
