« Putting Together A Deal »

by Kim Lavine

I called up Smart Money

I asked him:

“What can you do to help me close this deal?”

“Oh, I can close it alright. It’s going to be a lot of work. I’ll do it only if you agree to compensate me with an equity stake in Green Daisy. In return, I’ll work for you for a period of two years.”

Did I just Hear That?

Did I just hear Smart Money, a first-round investor in Google, a former Sr. VP with a major east coast investment banking firm, who commercialized new technology out of MIT and drove some of the IPO madness in Silicon Valley in the late 90’s, offer to come to work for me?

He was no doubt the shrewdest, most experienced financial mind I had ever known. I already had a man who built a $700,000,000 dollar brand from the ground up, an expert in brand management and licensing, interested in working with me. Now I had a big picture Executive Officer who could guide our ship to exponential growth through stock offerings and a priceless knowledge of corporate law and taxation.

Could this get any better?

“You need somebody like me,” Smart Money said, “you just can’t do this alone. I tried twenty years ago, and I got beat up so bad by a group of savvy experienced investors, I still hurt. I mean, they really screwed me. This is dangerous business.

"Since then," he went on, "I’ve put together deals like this for at least twenty companies. I don’t do it for just anybody. Believe me, I get a lot more offers than I accept. In your case, I believe in you.

I always bet on the jockey and not the horse. You’re the reason this company is going to succeed, and I’m willing to invest two of years of my time to see it through.”

Can you believe I said this?

“Okay,” I said. “Let me think about it and get back to you.”

This was very appealing to me, but it didn’t solve my immediate critical problem: I needed cash! I was convinced at this point that giving away part of my company would only make that solution harder to attain.

What did I know?

I called him back a few days later and tentatively agreed to his offer, giving him a very small percentage of my company in the event that he was able to do what I was not able to do: successfully close the deal.

Nothing ventured, nothing gained, I thought.
